Olga has extensive experience advising Russian and international companies on complex civil, corporate, and competition law issues. Olga has successfully led complex projects in the energy, oil and gas, gold mining, and automotive sectors, involving corporate restructuring, acquisitions, and asset protection and recovery.

Olga provides legal support to clients during action to prevent the initiation of bankruptcy proceedings, and in complex debt recovery cases. She has successful experience supporting M&A transactions.

Olga has won numerous court cases involving corporate conflicts, holding members of corporate governing bodies liable, and disputes arising in the course of bankruptcy, including involving the subsidiary liability of persons controlling the debtor.

Before joining Sameta, Olga spent seven years as head of the legal department at a large oil and gas sector holding company.

Corporate / M&A

  • Advising a major gas company on the consequences of reducing its net assets to a value lower than the amount of its charter capital.
  • Advising a leading Russian producer of non-ferrous metals and its subsidiaries on a range of issues in connection with litigation to recover amounts owed under promissory notes. Representing its subsidiaries in matters related to the use of subsoil resources.
  • Advising a subsidiary geological prospecting company of a leading Russian producer of non-ferrous metals on structuring a transaction to consolidate the company’s assets with a view to attracting major Western investors. Advising on antitrust regulation issues.
  • Advising on a range of issues connected with the sale of assets of a major Russian oilfield services company to a U.S. investor, including direct implementation of certain elements of the transaction governed by Russian law.
  • Preparation of a set of civil law agreements on supplies of equipment, raw materials and other materials for a leading Japanese auto manufacturer.
  • Advising a Swedish agricultural holding on changing the corporate structure of its Russian subsidiary with a view to raising financing. Resolution of a property dispute with Russian management in the interests of a foreign investor.
  • Advising a leading Russian gold-mining company on the reissuance of licences. Advising the seller on the disposition of a shareholding. Preventing an attempted hostile takeover of the company through insolvency. Representing the company in commercial court in disputes involving claims for invalidation of transactions performed by management.
  • Restructuring the debt of a group of engineering companies with a view to optimizing the group’s financial and business operations. Advising on transactions in the framework of the restructuring.
